When you lose money through a questionable cryptocurrency, you might wonder whether the law provides a way to recover your losses.
<h2>When tokens qualify as securities</h2>
Federal securities laws may apply <a href="https://www.sec.gov/resources-small-businesses/capital-raising-building-blocks/transactions-involving-crypto-assets" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">depending on the type of asset</a> and how sellers offer it. A blockchain might record ownership of a tokenized stock, but the digital format does not change its status as a security.

The analysis differs when a token is not already a security. <a href="https://www.investopedia.com/terms/h/howey-test.asp" target="_blank" rel="noopener external noreferrer" data-wpel-link="external">Under the Howey test</a>, its sale can involve an investment contract if you put money into a common enterprise and reasonably expect a profit from the essential managerial efforts of others.

This can occur when an issuer or promoter makes clear promises to develop the project, leading buyers to expect a return from that work. A price increase driven only by market demand, without such a commitment, would not satisfy this requirement.
<h2>How rug pulls deceive investors</h2>
A rug pull happens when people behind a cryptocurrency venture raise money and then abruptly drain a trading pool, sell large holdings or abandon the operation. These actions often cause the token’s value to fall sharply and leave holders with substantial losses.

To gain trust, the team may falsely state that it locked the liquidity, retained reserves, obtained an independent audit or would use the proceeds as advertised. These representations and any important omissions can shape the legal claims available to you and help identify the responsible parties.
<h2>Which remedies follow a collapse</h2>
After a cryptocurrency project or exchange fails, your options depend on how you acquired and stored the assets and what caused the loss. You may file an individual lawsuit or <a href="https://www.rmclasslaw.com/class-actions/" target="_blank" rel="noopener" data-wpel-link="internal">participate in a class action</a>.

If federal securities laws cover the transaction, you can seek damages or rescission to undo the purchase. Your agreement could instead require arbitration. If the company enters bankruptcy, you often need to submit a proof of claim for payment from the estate.

You may also report suspected misconduct to the Securities and Exchange Commission when the matter falls within its jurisdiction. That submission remains separate from a private action because the agency decides whether to investigate or bring an enforcement case.
